Chairman's Letter
The Securities and Exchange Commission a few years ago revised its regulations about how publicly-traded companies can communicate with shareholders to allow the proxy solicitation process to be conducted more efficiently and cost-effectively over the Internet.
Cummins has elected to take advantage of these rules this year and will save more than $180,000 in production, printing, and postage costs by reconfiguring the way it produces and distributes shareholder and sustainability reporting documents.
In 2009, shareholders will receive in early April a letter indicating the chairman’s letter, proxy statement and annual report on Form 10-K are available for viewing at the web address given. They are the same documents in the links above. The company will not produce a traditional “glossy” annual report in 2009.
The document also directs shareholders to where they can vote their shares online. Up for shareholder consideration are the election for the Board of Directors and four other items. There are separate voting websites for registered / employee shareholders and beneficial shareholders. (shares held through a broker) so please follow instructions on the letter you received.
Shareholders may request plain paper copies of the chairman’s letter, proxy statement and annual report on Form 10-K as well as the proxy card. Please following the instructions on the letter you received.
The Cummins annual shareholders’ meeting was held on May 12, 2009.
